The Paralegal, Subsidiary Governance supports the Corporate Governance function with primary responsibility for entity management across Shift4's global corporate structure. This role ensures that all domestic and international subsidiaries remain in good standing through accurate recordkeeping, timely regulatory filings, and effective coordination of corporate actions. The paralegal partners closely with internal stakeholders and external service providers to maintain statutory compliance and support financing, acquisitions, and other strategic initiatives. Location: Tampa, FL or Center Valley, PA office Responsibilities: Entity Lifecycle Management - Support the full lifecycle of legal entities, including formation of new subsidiaries, dissolutions, mergers, and restructurings. - Maintain accurate corporate records reflecting ownership, directors, officers, and registered agent information. Database & Records Administration - Serve as administrator for entity management software, ensuring real-time accuracy of governance data and documentation. - Maintain statutory registers, minute books, and related corporate records in accordance with legal requirements. Regulatory Compliance & Filings - Prepare and submit annual reports, certificates of authority, jurisdictional withdrawals, and other required filings. - Track filing deadlines across multiple jurisdictions to ensure subsidiaries remain in good standing.
