Legal Counsel Location not specified Requisition Number: 45766 Job scope: Provide legal advice on general banking and structured trade finance transactions; review, draft and negotiate a wide range of general banking and structured trade finance related documentation, including parental guarantees, loans agreements, letter of credit agreements and receivables purchase agreements. Negotiate standard banking terms and other day to day banking agreements and NDAs. Provide comprehensive legal advice on a wide range of corporate and governance matters, including corporate restructurings, subsidiary management and support for board and committee meetings. Collaborate closely with the board of directors and senior leadership team to ensure effective corporate governance practices, including compliance with applicable laws, regulations, and best practices. Develop close working relationships with Treasury, Financial Services, Financial Markets and Governance functions of the business to identify and manage legal risks with internal and external counterparts, and develop strategies to support the achievement of commercial objectives while managing and minimising legal risks. Provide timely legal advice and solutions. Engage and manage external counsel where appropriate, and all related expenses.
