About this role

Counsel, Corporate New York, NY, United States Position Summary Assured Guaranty is seeking a highly skilled and experienced corporate lawyer to join our dynamic legal team. The Counsel will be responsible for SEC filings and other public disclosures, securities laws matters, corporate governance, contract negotiation, strategic transactions, and rating agency matters. In addition, the Counsel will support aspects of the insurance regulatory function, including making filings on behalf of Assured Guaranty's insurers. The Counsel will work closely with the Deputy General Counsel with the objective of growing into a leading role with primary responsibility for Assured Guaranty's public disclosures and other corporate matters. Position Description - Preparation of SEC filings, including proxy statements, 10-K's, 10-Qs and 8-Ks. - Legal research and advice, including with respect to the Securities Exchange Act and insurance regulations. - Preparation of corporate governance documentation, including board and committee minutes and materials for quarterly Board of Directors meetings of Assured Guaranty Ltd. (the public parent holding company) and its insurance subsidiaries. - Review and negotiation of general corporate contracts (e.g., vendor agreements and license agreements). - Legal support of the investor relations and marketing function, including reviewing press releases and presentations. - Legal support of the human capital management function, including updating employee benefits plans and forms of offer letters and separation agreements and reviewing privacy and other policies. - Legal advice and assistance with strategic transactions, including mergers, acquisitions and divestitures. - Assistance in preparation of insurance regulatory filings, including annual registration statement, enterprise risk
