The Counsel will be responsible for SEC filings and other public disclosures, securities laws matters, corporate governance, contract negotiation, strategic transactions, and rating agency matters. In addition, the Counsel will support aspects of the insurance regulatory function, including making filings on behalf of Assured Guaranty's insurers. The Counsel will work closely with the Deputy General Counsel with the objective of growing into a leading role with primary responsibility for Assured Guaranty's public disclosures and other corporate matters. Position Description - Preparation of SEC filings, including proxy statements, 10-K's, 10-Qs and 8-Ks. - Legal research and advice, including with respect to the Securities Exchange Act and insurance regulations. - Preparation of corporate governance documentation, including board and committee minutes and materials for quarterly Board of Directors meetings of Assured Guaranty Ltd. (the public parent holding company) and its insurance subsidiaries. - Review and negotiation of general corporate contracts (e.g., vendor agreements and license agreements). - Legal support of the investor relations and marketing function, including reviewing press releases and presentations. - Legal support of the human capital management function, including updating employee benefits plans and forms of offer letters and separation agreements and reviewing privacy and other policies. - Legal advice and assistance with strategic transactions, including mergers, acquisitions and divestitures. - Assistance in preparation of insurance regulatory filings, including annual registration statement, enterprise risk

These transactions may contain elements of portfolio credit risk, corporate or financial institution credit risk, collateral value risk, interest rate risk or insurance-related risks. Position Description - Assist in the development, writing and presentation of underwriting recommendations - Creation of spread sheet-based cash flow and financial models - Assist in the performance of due diligence - Work with rating agencies as part of shadow rating process - Research and compile industry trends/data. - Research and development of new sectors Candidate Background - 3 - 6 years' experience, depending on qualifications - Undergraduate degree from a top-tier university, preferably with a focus on finance, accounting, or other quantitative discipline - General financial knowledge of fixed income capital markets (knowledge of structured finance useful but not required) - Ability to interact with clients, senior management and other departmental members - Excellent written and verbal skills - Excellent analytical and problem-solving skills - Excellent computer literacy including Excel, Word and PowerPoint (cash flow modeling experience useful)Ability to work independently and as part of a small, cohesive team Compensation Annual base salary for the position is expected to be from $120,000 per year to $140,000 per year. The attorney will be primarily responsible for providing transactional legal support to Assured Guaranty's U.S. Public Finance business. Additionally, the attorney will be responsible for general legal support for Assured Guaranty, as directed by the Deputy General Counsel, Public Finance and/or the General Counsel. Job Responsibilities - Analyze relevant laws and regulations affecting public finance transactions. - Draft and review a wide variety of documents related to public finance transactions. - Negotiate transactions with internal and external clients and other parties. - Provide legal counsel and advice to underwriting and credit teams. - Manage legal aspects across the entire lifecycle of transactions from development of preliminary bids to closing. - Assist with post-closing matters related to the insured portfolio including review, negotiation and documentation of consents and waivers.
