    Counsel, Corporate New York, NY, United States Position Summary Assured Guaranty is seeking a highly skilled and experienced corporate lawyer to join our dynamic legal team. The Counsel will be responsible for SEC filings and other public disclosures, securities laws matters, corporate governance, contract negotiation, strategic transactions, and rating agency matters. In addition, the Counsel will support aspects of the insurance regulatory function, including making filings on behalf of Assured Guaranty's insurers. The Counsel will work closely with the Deputy General Counsel with the objective of growing into a leading role with primary responsibility for Assured Guaranty's public disclosures and other corporate matters. Position Description - Preparation of SEC filings, including proxy statements, 10-K's, 10-Qs and 8-Ks. - Legal research and advice, including with respect to the Securities Exchange Act and insurance regulations. - Preparation of corporate governance documentation, including board and committee minutes and materials for quarterly Board of Directors meetings of Assured Guaranty Ltd.     Associate/AVP, Structured Finance New York, NY, United States Position Summary The Structured Finance Team is responsible for the origination and credit underwriting of financial guaranty and credit insurance opportunities in a wide range of structured finance sectors including ABS, CLO, CRE, Fund Finance and other esoteric asset securitizations and financings. These transactions may contain elements of portfolio credit risk, corporate or financial institution credit risk, collateral value risk, interest rate risk or insurance-related risks. This is an opportunity to work on providing financial guaranty insurance for a variety of public finance transactions in all 50 states. The attorney will be primarily responsible for providing transactional legal support to Assured Guaranty's U.S. Public Finance business. Additionally, the attorney will be responsible for general legal support for Assured Guaranty, as directed by the Deputy General Counsel, Public Finance and/or the General Counsel. Job Responsibilities - Analyze relevant laws and regulations affecting public finance transactions. - Draft and review a wide variety of documents related to public finance transactions. - Negotiate transactions with internal and external clients and other parties. - Provide legal counsel and advice to underwriting and credit teams. - Manage legal aspects across the entire lifecycle of transactions from development of preliminary bids to closing. - Assist with post-closing matters related to the insured portfolio including review, negotiation and documentation of consents and waivers.
